A freelance contract for ordinary external service work

This builder is designed for ordinary external freelance, creative, consulting, research, administrative, and similar professional services for business, nonprofit, or professional purposes. It supports one defined project or one simple ongoing engagement. If the relationship is really staffing, employee-like work, a regulated profession, construction, government contracting, a complex software/data deal, an MSA/SOW system, or another specialist arrangement, the builder will stop rather than force the engagement into the wrong document.

What is this agreement for?

It is for an ordinary external freelance or professional-services engagement between a provider and a business, nonprofit, entrepreneur, or other professional-purpose client. It can cover a defined project or a simple ongoing service relationship. It is not designed for personal or household hiring, government work, staffing, employee-like roles, regulated professions, construction or trades, or other specialist deals the builder identifies as outside scope.

Does signing this make someone an independent contractor?

No. The agreement records commercial terms for a relationship that is genuinely expected to operate as external freelance or professional services. Worker classification depends on applicable law and the real working relationship, not simply the contract title, an LLC, a tax form, or a sentence calling someone an independent contractor. If the facts look materially employee-like or too uncertain for this product, the builder stops instead of issuing a status certificate.

What can the agreement cover?

The guided form can document the parties, services, deliverables or cadence, timing, payment, expenses, revisions and review where relevant, ending the engagement, one of two supported intellectual-property outcomes, optional ordinary confidentiality, provider-controlled helpers, governing law with a real connection to the engagement, and supported state/local protective terms. Which state’s law should I choose?

Choose only from the states the form shows as having a real connection to the engagement, such as a confirmed principal location or a material place where the work will actually be performed. The choice is not a shortcut for deciding which worker-classification, freelancer-protection, electronic-signature, court, or other mandatory rules apply.

Can the parties sign electronically?

Federal and state electronic-transaction rules can recognize electronic records and signatures, but the parties still need a legally sufficient agreement to transact electronically and state-specific conditions can matter.
